Key Responsibilities
Negotiate and draft commercial agreements, such as master software and services agreements, partnership and vendor agreements, NDAs, and terms of use
Review and help with responding to requests for proposal ("RFP")
Review current contracts to ensure terms are satisfactory
Help identify legal and other risks regarding different company initiatives
Research and advise on a variety of areas of law, including, intellectual property, labour and employment, compliance, corporate governance
Provide assistance with other legal department/company projects from time to time.
Desired Qualifications and Experiences
Business degree, law degree, juris doctor or other similar degree
At least 1-3 years' experience drafting and negotiating transactional documents in the software industry, license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs
Experience working with customers located in the United States
Ability to comprehend and investigate vague problems, propose innovative solutions, and execute them efficiently
Experience working with government bodies and public safety agencies
Efficient, effective, well organized, and able to prioritize and manage multiple projects
